Produce Parties — Terms and Conditions

These Terms and Conditions (“Terms”) govern participation in any “Produce Party” event (“Event”) hosted under the name of Produce Parties LLC (“Company,” “we,” “us,” or “our”). By hosting or attending an Event, you (“Host,” “Participant,” or “you”) agree to the following:

1. Nature of Events

Produce Parties are decentralized, potluck-style gatherings organized by volunteer Hosts across various locations. The Company provides inspiration, guidance, and community branding, but does not manage or oversee individual Events.

2. Assumption of Risk & Waiver of Liability

By choosing to host or attend a Produce Party, you acknowledge and accept that:

  • You participate voluntarily and at your own risk.
  • The Company is not responsible for any personal injury, illness, property damage, theft, loss, or other harm that may occur before, during, or after the Event.
  • The Company does not vet attendees, venues, or food safety practices and is not responsible for foodborne illness or allergic reactions.

You expressly release the Company, its officers, employees, agents, affiliates, and representatives from any and all claims or liabilities arising from or related to the Event.

3. Host Responsibilities

If you host a Produce Party:

  • You agree to communicate clearly with guests regarding venue details, expectations, and any known risks.
  • You understand that you are acting independently and not as an employee, agent, or representative of the Company.
  • You must not collect money, sell products, or offer services at the Event under the Company name.

4. No Commercial Use of Company Name

You may not use the Company name, logo, brand assets, or likeness for personal or commercial profit. This includes (but is not limited to):

  • Selling tickets, food, or merchandise under the Produce Party name
  • Securing sponsorships or paid partnerships using the Produce Party brand
  • Advertising products or services as “official” or “affiliated” with the Company

All rights to the Company name and branding are reserved by the Company.

5. Alcohol Responsibility

If alcohol is served at a Produce Party, the Host is solely responsible for ensuring compliance with all applicable local laws, including age restrictions and permits. The Company does not assume responsibility for any alcohol-related incidents or violations.

6. Media Release

By attending or hosting an Event, you grant the Company permission to use any photographs, video, or written content from the Event for promotional or marketing purposes unless you explicitly opt out in writing prior to the Event.

7. Code of Conduct

Participants are expected to uphold respectful, inclusive, and safe behavior. Discrimination, harassment, or misconduct will not be tolerated. The Company reserves the right to revoke participation or hosting privileges at its sole discretion.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company from and against any claims, damages, or expenses (including legal fees) arising from your conduct at or related to the Event.

9. No Agency or Employment

Participation in a Produce Party does not create any agency, partnership, joint venture, employment, or franchise relationship between you and the Company.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Albany County, New York.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.
